These Terms & Conditions ("Terms") constitute a legally binding agreement between WZLOT SPÓŁKA Z OGRANICZONĄ ODPOWIEDZIALNOŚCIĄ T/A Constellation Engineering ("we", "us", "our") and you, the client or website visitor ("you", "your", "Client"). They govern your use of this website and the provision of Amazon marketplace services, listing optimisation, advertising support, Seller Central operations, software engineering, automation, marketplace integration, data, AI, and related consultancy services under the Constellation Engineering brand.

We will perform the Services with reasonable skill and care and in accordance with industry practice. Specific delivery timelines, milestones, support arrangements, or acceptance criteria apply only where agreed in a Service Agreement.
We do not guarantee specific revenue, marketplace ranking, advertising performance, operational savings, or other commercial outcomes unless expressly stated in writing. Results may depend on client inputs, third-party systems, platform rules, market conditions, product quality, pricing, inventory, and other factors outside our control.
You agree to provide accurate, complete, and timely information required for service delivery; grant the necessary Account Access and permissions; provide business rules, brand assets, product data, and technical documentation where required; respond to requests for review, feedback, credentials, or approvals within reasonable timeframes; maintain compliant accounts on relevant Marketplace Platforms and third-party services; and back up critical data unless backup responsibility is expressly assigned to us in writing.
You warrant that your products, data, accounts, content, instructions, and business operations comply with applicable laws, platform terms, intellectual property rights, consumer protection rules, and privacy obligations.
Fees are specified in the applicable Service Agreement and may be structured as retainers, fixed project fees, time-and-materials fees, milestone payments, support fees, performance-based fees, or another agreed commercial model. Unless otherwise stated, all fees are exclusive of VAT and other applicable taxes.
Payment terms are set out in the Service Agreement or invoice. Where no separate payment term is stated, invoices are payable within 14 days of the invoice date. We may suspend Services for overdue payments after reasonable notice, and late payments may incur statutory interest, recovery costs, or other remedies available under applicable law.
You retain ownership of your trademarks, brand assets, product data, business data, existing materials, and pre-existing systems. You grant us a non-exclusive licence to use them solely for the purpose of providing the Services.
We retain ownership of our pre-existing code, tools, libraries, frameworks, templates, know-how, methodologies, automation patterns, prompts, internal systems, and reusable components.
Your property: deliverables created specifically for you under a paid Service Agreement, subject to full payment and any licence terms stated in that Service Agreement.
Our property: pre-existing materials, generic components, reusable tools, templates, and internal methods, even if they are used to create or support your deliverables.
Both parties agree to keep Confidential Information confidential, use it only for purposes related to the Service Agreement, restrict access to those who need it, and not disclose it to third parties without prior written consent unless required by law.
Both parties agree to comply with applicable data protection laws, including the EU General Data Protection Regulation (GDPR) where applicable. Our Privacy Policy explains how we process personal data submitted through this website and in connection with our services.
We warrant that the Services will be performed with reasonable skill and care and by appropriately qualified personnel. Except as expressly set out in these Terms or a Service Agreement, all warranties, conditions, and representations are excluded to the maximum extent permitted by law. We do not warrant that third-party APIs, platforms, accounts, cloud services, or integrations will remain available, unchanged, or error-free.
To the maximum extent permitted by law, we are not liable for loss of profits, revenue, anticipated savings, goodwill, business opportunity, data caused by client-side failures, indirect damages, consequential damages, special damages, or losses arising from factors beyond our reasonable control. Unless a Service Agreement states otherwise, our total aggregate liability shall not exceed the total fees paid to us under the relevant Service Agreement in the 12 months preceding the claim.
Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any liability that cannot be excluded under applicable law.
Termination rights and notice periods are set out in the Service Agreement. Where no separate notice period is stated, either party may terminate ongoing month-to-month services on 30 days' written notice. Either party may terminate immediately if the other party commits a material breach and fails to remedy it within 14 days of written notice, becomes insolvent, ceases trading, or acts in a way that creates a serious legal, security, or reputational risk.
Upon termination, all outstanding invoices become due. Each party must return or destroy Confidential Information upon request, subject to legal retention obligations. We may provide reasonable transition assistance if agreed in writing.
If a dispute arises, the parties will first attempt to resolve it through good faith negotiations. If negotiations fail, the parties may attempt mediation before pursuing litigation. These Terms are governed by the laws of Poland. The parties submit to the jurisdiction of the competent Polish courts, unless mandatory law requires otherwise.

For Amazon-related work, Amazon PII and customer-level exports are avoided unless required for the agreed service. Where Amazon PII is required, it is deleted or de-identified within 30 days after the delivery purpose ends unless legal or contractual retention is required. Non-PII operational records, workflow notes and reporting history may be retained for up to 18 months unless a shorter client retention period is agreed.

We apply least-privilege access principles, limit access to personnel who need it for delivery, and support revocation or credential rotation during offboarding. We avoid storing order-level or customer-level PII unless it is required for the agreed service. Where such data is processed, it is retained only for the operational, contractual, legal, security, or audit purpose described in the relevant service agreement, data processing terms, or project records, and is deleted or de-identified within the retention windows described above.
For incident management, suspected security incidents are triaged immediately, contained, documented, and escalated to affected clients and Amazon within 24 hours where required by Amazon policy, law, contract or the relevant service terms.
